Director Appointment

A director is an individual who, along with other directors, is responsible for a management of affairs of the Company. A director can be appointed by the Board Resolution at a duly convened meeting of the Board of directors subject to confirmation by shareholder resolution in following General Meeting. After appointment of director by Board of Directors, it is mandatory to give intimation to the ROC within 30 days of appointment in Form-DIR 12.

It is mandatory for a private company to have minimum two directors and in case of public company minimum number of directors should be three. However, in case of OPC, only one is required.
