Director Resignation

A director is an individual who, along with other directors, is responsible for a management of affairs of the Company. A director can resign from Board of Directors after giving a written notice to the Board of directors. The resignation of the director shall be approved by the Board of Directors at duly convened Board Meeting. After approval of resignation of director by Board of Directors, it is mandatory to give intimation to the ROC within 30 days of approval of resignation in Form-DIR 12. Concerned director may also give intimation to ROC Form- DIR 11.

It is mandatory for a private company to have minimum two directors and in case of public company minimum number of directors should be three. However, in case of OPC, only one is required.
